Acceptance of Terms

These Terms of Service (the “Terms”) constitute a legally binding agreement between you (“you,” “your,” “Subscriber,” or “Member”) and Vorteil Trading Group LLC, a Utah limited liability company operating as a DBA of Roney Real Estate LLC (“Vorteil,” “we,” “us,” or “our”).

By creating an account, purchasing a membership tier, subscribing to our tools, using our website, or accessing any Vorteil service, you confirm that you have read, understood, and agree to be bound by these Terms, our Risk Disclosure & Disclaimers, and our Privacy Policy, all of which are incorporated into this agreement by reference.

If you do not agree to these Terms, you may not access or use any Vorteil service.

Eligibility

To use Vorteil services, you must:

• Be at least 18 years of age and have the legal capacity to enter into a binding contract in your jurisdiction;
• Reside in a jurisdiction where the provision of trading-education services is not prohibited by applicable law;
• Not be barred from receiving services under U.S. law, including but not limited to OFAC sanctions, FINRA bars, or court orders restricting your trading or investment activity;
• Provide accurate, current, and complete information when registering for an account.

We reserve the right to refuse service, terminate accounts, or remove or edit content at our sole discretion, including in any case where we believe a Subscriber does not meet these eligibility requirements.

Account Registration & Security

To access most Vorteil services, you must create an individual account. When registering, you agree to:

• Provide accurate, current, and complete information, including a valid email address;
• Maintain and update your account information as needed;
• Keep your password and login credentials confidential;
• Notify us immediately at support of any unauthorized use of your account or any security breach.

Vorteil monitors account activity through our platform provider's standard login and session tracking, and reserves the right to review accounts for patterns inconsistent with single-user access. If we identify a likely violation, we may lock the account, require identity verification, or terminate the account immediately, in our sole discretion.

You are solely responsible for all activity that occurs under your account, whether authorized by you or not. Vorteil is not liable for any loss or damage arising from unauthorized account access resulting from your failure to maintain credential security.

Memberships, Tiers & Pricing

Vorteil offers tiered memberships and a stand-alone tools subscription. All prices are stated in U.S. dollars. Pricing may change from time to time; price changes will not apply to subscriptions or memberships you have already purchased, except as expressly stated below.

Lifetime education access means access to the educational content included in your tier for as long as Vorteil continues to operate the service, subject to the right of Vorteil to discontinue or modify the service as described in these Terms. “Lifetime” does not mean “forever in perpetuity beyond Vorteil's operation.” If Vorteil ceases operations, your access ends at that time.

Tools access is a subscription-based service. Bundled tool access included with Toolkit ($499) and Elite ($749) tiers is provided for the periods stated above (6 months and 12 months, respectively) measured from the date of your tier purchase. After the bundled period expires, continued tool access requires an active $29/mo or $249/yr subscription.

Vorteil may introduce new tools, modify existing tools, retire tools that are no longer maintainable, or change tool functionality at any time. Tool access does not entitle you to any specific feature, data source, or capability that may exist at the time of purchase.

Payment, Billing & Auto-Renewal

All payments are processed by our payment processor, Stripe, Inc. By providing a payment method, you authorize Vorteil and Stripe to charge that payment method for all fees associated with your selected tier or subscription, including any applicable taxes.

One-time tier purchases (Starter, Toolkit, Elite) are billed once at the time of purchase. The amount is non-refundable as described in Section 6.

Tools subscriptions ($29/mo or $249/yr) automatically renew at the end of each billing period at the then-current rate until you cancel. You will be charged on the same day each month (or year) as your initial subscription date. If that day does not exist in a given month (e.g., the 31st in February), you will be charged on the last day of that month.

Failed payments: If a scheduled charge fails, we may retry the charge automatically. If payment remains unsuccessful after multiple attempts, your tools subscription will be suspended, and continued non-payment may result in account termination. Lifetime education access from a previously paid tier is not affected by a failed tools subscription payment.

Tax: Stated prices do not include sales tax, VAT, or other applicable taxes, which may be added to your invoice based on your jurisdiction.

No Refund Policy

By completing your purchase, you expressly acknowledge and agree that:

• All purchases are non-refundable. No refund will be issued for any reason after the purchase is completed.
• No trial period exists. Purchases are not provisional. There is no “preview,” trial, money-back guarantee, or satisfaction guarantee on any tier.
• You are responsible for evaluating the offering before purchase. Detailed descriptions of what each tier includes are available on our website, and you should review them carefully before purchasing.
• Chargebacks initiated in violation of this policy may result in account termination. If you initiate a payment dispute, chargeback, or reversal with your bank or card issuer in violation of these Terms, Vorteil may immediately suspend or terminate your account, pursue collection of the disputed amount, and recover its costs and attorneys' fees in connection with the dispute.

Tools subscription billing is handled separately under Section 7 (Cancellation). Cancellation prevents future charges but does not refund the current billing period.

Cancellation

You may cancel your tools subscription at any time through your account settings or by emailing support.

Upon cancellation:

• You will retain access to the tools through the end of the current paid billing period (e.g., end of the current month for monthly subscribers, end of the current year for annual subscribers);
• You will not be charged again unless you re-subscribe;
• No prorated or partial refund will be issued for unused time remaining in the current billing period;
• Your lifetime education access (from any previously purchased tier) remains unaffected.

To cancel, please allow at least 24 hours before your next billing date to ensure the cancellation is processed in time. We are not responsible for charges resulting from cancellation requests received after the billing date has passed.

Intellectual Property

All content, materials, and technology made available through Vorteil services — including but not limited to course videos, written materials, downloadable resources, playbooks, software tools, source code, alerts, market analysis, the Vorteil brand, logos, trademarks, the “Vorteil” name, and the design and layout of the website (collectively, the “Vorteil Content”) — are owned by or licensed to Vorteil and are protected by U.S. and international copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, Vorteil grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Vorteil Content solely for your own personal, non-commercial educational use. This license does not include any right to:

• Copy, reproduce, distribute, publish, transmit, display, broadcast, perform, or create derivative works of the Vorteil Content, in whole or in part, by any means or in any medium;
• Share, resell, sublicense, rent, lease, or otherwise transfer the Vorteil Content to any third party;
• Post, upload, or publish the Vorteil Content on any website, social media platform, file-sharing service, torrent network, course aggregator, or any other public or semi-public venue;
• Use the Vorteil Content to develop, train, fine-tune, or otherwise inform any artificial intelligence model, machine learning system, or competing educational product;
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices from the Vorteil Content;
• Use the Vorteil brand, name, logo, or trademarks in any manner without express written permission;
• Reverse-engineer, decompile, or attempt to extract the source code of any Vorteil software or tool.

Unauthorized use, distribution, or reproduction of Vorteil Content is a material breach of these Terms and may also constitute copyright infringement subject to civil and criminal penalties under applicable law. Vorteil reserves all rights not expressly granted to you in these Terms.

Acceptable Use & Prohibited Conduct

You agree not to engage in any of the following activities while using Vorteil services:

• Sharing, distributing, or providing access to your account or the Vorteil Content with any other person;
• Recording, screen-capturing, downloading (except where expressly permitted), or otherwise reproducing course videos, live sessions, or premium content for redistribution;
• Reselling, sublicensing, or otherwise commercially exploiting Vorteil Content;
• Using automated systems (bots, scrapers, crawlers) to access, mirror, or extract Vorteil Content or data;
• Attempting to interfere with, disable, overload, or compromise the security or operation of the website, member portal, tools, or alert systems;
• Using Vorteil services for any unlawful purpose, including any activity that violates securities laws, FINRA rules, or the laws of any applicable jurisdiction;
• Impersonating any person or entity, or misrepresenting your affiliation with any person or entity, in any communication with Vorteil or other Subscribers;
• Harassing, threatening, defaming, or abusing other Subscribers, Vorteil staff, or third parties in any Vorteil community space, comment section, or communication channel;
• Posting or transmitting any content that is unlawful, harassing, defamatory, obscene, infringing, hateful, or otherwise objectionable;
• Promoting or soliciting any product, service, business opportunity, or investment to other Subscribers without express written permission from Vorteil.

Vorteil reserves the right (but is not obligated) to investigate and take legal action against any user who violates these provisions, including the right to suspend or terminate accounts without refund.

Suspension & Termination

Vorteil may suspend or terminate your account, at any time and without prior notice, for any reason including but not limited to:

• Breach of these Terms, the Risk Disclosure, the Privacy Policy, or any other Vorteil policy;
• Account sharing or any violation of Section 3 (Account Registration);
• Violation of Section 8 (Intellectual Property) or Section 9 (Acceptable Use);
• Failure to pay any amount owed to Vorteil;
• Initiation of a chargeback, payment dispute, or reversal in violation of Section 6;
• Unlawful or fraudulent activity;
• Conduct that, in Vorteil's sole judgment, exposes Vorteil or other Subscribers to legal, financial, or reputational risk.

Effect of termination: Upon termination, your right to access and use Vorteil services ends immediately. You will not receive any refund for any unused portion of a tier purchase, tools subscription, or other fee paid to Vorteil. Sections of these Terms that by their nature should survive termination — including Sections 6, 8, 11, 12, 13, 14, 15, and 16 — will continue to apply.

You may also stop using Vorteil services at any time by canceling your subscription and discontinuing access to your account.

Disclaimers

VORTEIL SERVICES, INCLUDING ALL CONTENT, TOOLS, ALERTS, AND COMMUNICATIONS, ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VORTEIL DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

Vorteil does not warrant that the services will be uninterrupted, error-free, secure, or free of viruses or other harmful components. Vorteil does not warrant the accuracy, completeness, or timeliness of any market data, alert, tool calculation, or educational content.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VORTEIL TRADING GROUP LLC, RONEY REAL ESTATE LLC, THEIR OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, INSTRUCTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, TRADING LOSSES, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, ANY VORTEIL SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF VORTEIL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

VORTEIL'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO YOUR USE OF VORTEIL SERVICES, WHATEVER THE BASIS, SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO VORTEIL IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the above limitations apply only to the maximum extent permitted by applicable law.

Indemnification

You agree to defend, indemnify, and hold harmless Vorteil Trading Group LLC, Roney Real Estate LLC, and their owners, officers, employees, contractors, instructors, and affiliates (collectively, the “Indemnified Parties”) from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorneys' fees) arising from or related to:

• Your use of or access to Vorteil services;
• Your violation of any term of these Terms;
• Your violation of any third-party right, including any intellectual property, privacy, or proprietary right;
• Any trading, investment, or financial activity you undertake, whether or not based on Vorteil content, tools, alerts, or recommendations;
• Your account sharing or any other unauthorized use of your account;
• Any content you submit, post, or transmit through Vorteil services.

Vorteil reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us. You agree to cooperate with our defense of any such claim.

Mandatory Arbitration & Class Action Waiver

Agreement to arbitrate. You and Vorteil agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Vorteil services, or any communication, transaction, or relationship resulting from them, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory (a “Dispute”), shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect.

Location and process. The arbitration will be conducted in Salt Lake County, Utah, or by videoconference at the arbitrator's discretion. The arbitrator's decision shall be final and binding, and judgment upon the award rendered by the arbitrator may be entered in any court of competent jurisdiction. The Federal Arbitration Act (9 U.S.C. §§ 1 et seq.) governs the interpretation and enforcement of this arbitration agreement.

Class action waiver. YOU AND VORTEIL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. If a court determines that this class action waiver is unenforceable as to any particular claim, then that claim (and only that claim) shall be severed from this arbitration agreement and brought in court.

Exceptions. Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes that qualify, and either party may seek injunctive or other equitable relief in court for actual or threatened infringement of intellectual property rights or misappropriation of trade secrets.

30-day opt-out. You may opt out of this arbitration agreement by sending a written notice to support within thirty (30) days of first agreeing to these Terms. The notice must include your full name, account email, mailing address, and a clear statement that you wish to opt out of the arbitration agreement. Opting out will not affect any other provision of these Terms.

Severability. If any portion of this Section 14 is determined to be invalid or unenforceable, the remainder shall continue in full force and effect.

Governing Law

These Terms, and any dispute arising from or relating to them or to your use of Vorteil services, shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of laws principles.

To the extent any Dispute is not subject to arbitration under Section 14, you and Vorteil agree to submit to the exclusive jurisdiction of the state and federal courts located in Salt Lake County, Utah, and waive any objection to such jurisdiction or venue.

Changes to These Terms

Vorteil may modify these Terms at any time. When we make material changes, we will update the Effective Date at the top of this document and notify active Subscribers by email or through a prominent notice on the website at least fourteen (14) days before the changes take effect.

Your continued use of Vorteil services after the Effective Date of any updated Terms constitutes your acceptance of those updated Terms. If you do not agree to the updated Terms, your only remedy is to discontinue use of Vorteil services and cancel any active subscription.

For changes that materially expand your obligations or restrict your rights, we will provide a clear summary of the changes in the notice.
